1. AGREEMENT TO TERMS

These Terms of Service constitute a legally binding agreement made between you and Mind-Body-Heart Therapy PLLC, a Utah Professional Limited Liability Company doing business as The Wise Mind Group (“Company,” “we,” “us,” or “our”). These Terms govern your access to the website and any professional services rendered.

2. SEPARATION OF CLINICAL AND COACHING SERVICES

The Company operates under two distinct professional scopes. By engaging our services, you acknowledge the following:

  • Clinical Psychotherapy (Lane A): These services involve the diagnosis and treatment of mental health disorders and are provided by a licensed mental health professional. Clinical services are restricted to individuals physically located in Utah or California at the time of service. This relationship is governed by clinical ethics and HIPAA.

  • Coaching (Lane B): These services are consultative and focused on executive performance and habit optimization. Coaching is not psychotherapy. Coaching does not follow a medical model; no diagnosis will be given. Coaching services are available globally and do not establish a provider-patient relationship.

3. PRIVATE PAY, MEDICARE, & NO SURPRISES ACT

  • Private Pay: We are a non-participating, private-pay provider. We do not bill insurance.

  • Medicare Notice: We have officially opted out of Medicare. If you are a Medicare beneficiary, you must sign a Medicare Private Contract acknowledging that you will pay for services out-of-pocket and will not submit claims to Medicare for reimbursement.

  • Good Faith Estimate: Under the No Surprises Act, you have the right to receive a “Good Faith Estimate” for the total expected cost of any non-emergency items or services. This will be provided as part of your intake or upon request.

4. ELIGIBILITY & CLINICAL LIMITATIONS

  • You must be at least 18 years of age.

  • High-Risk Needs: Our services (specifically Coaching) are not appropriate for crisis situations involving suicidal ideation, psychosis, or active substance abuse. If such needs arise, the Company will mandate a referral to an appropriate clinical level of care.

5. FINANCIAL POLICY & CANCELLATION

  • 24-Hour Policy: We require 24 hours' notice for cancellations. Late cancellations or "no-shows" will be charged the full session fee.

  • Payments: Fees are due at the time of service. All sales are final; no refunds are provided for professional time already rendered.

6. SMS & ELECTRONIC COMMUNICATION

By providing your phone number, you consent to receive administrative SMS messages (reminders/billing). You may opt-out by replying STOP. While we use secure systems, the Company is not liable for security breaches occurring on the Client’s hardware or network.

7. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site and Services, including all source code, databases, functionality, software, website designs, audio, video, text, and graphics (collectively, the “Content”) and the trademarks and logos contained therein (the “Marks”) are owned or controlled by us and are protected by copyright and trademark laws.

8. USER REPRESENTATIONS

By using the Site, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity and you agree to comply with these Terms of Service.

9. PROHIBITED ACTIVITIES

You may not access or use the Site for any purpose other than that for which we make the Site available. You agree not to:

  • Systematically retrieve data or other content from the Site to create a collection, compilation, or database without written permission.

  • Trick, defraud, or mislead us and other users.

  • Circumvent, disable, or otherwise interfere with security-related features of the Site.

10. SITE MANAGEMENT & INTERRUPTIONS

We reserve the right, but not the obligation, to: (1) monitor the Site for violations of these Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms. We cannot guarantee the Site will be available at all times.

11. LIMITATION OF LIABILITY

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or services. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) use of the Services; (2) breach of these Terms of Service.

13. GOVERNING LAW & DISPUTE RESOLUTION

These Terms shall be governed by and defined following the laws of the State of Utah. Mind-Body-Heart Therapy PLLC and yourself irrevocably consent that the courts of Utah shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
